LOS ANGELES, CA - 04/12/2017 (PRESS RELEASE JET)

(OTC.PK: SLCH) is pleased to announce that the company has received approval by the Securities and Exchange Commission to issue shares of its free trading treasury shares as part of an investment offering.  The SEC’s Office of Investor Education and Advocacy  issued statements regarding such offerings and regulations in 2015.  At that time the  SEC  amended Regulation A in order to create a new exemption from registration under the Securities Act, as mandated by the Jump start Our Business Startups (JOBS) Act, to enhance the ability of smaller companies to raise money.   Spotlight Capital Holdings applied and was approved to take advantage of this incredible opportunity.

The restructuring of common shares will allow the company to progress forward with conducting a Regulation A+ Offering (Reg A+) offering, in which we anticipate receiving various commitments from a number of institutional funds. This offering will help the company move away from traditional toxic financing, such as convertible debt, and to friendlier financing that would provide the funding needed to execute its business model in full.

About Regulation A Plus

Regulation A Plus allows companies to offer and sell securities to the public, but with more limited disclosure requirements than what you would currently expect from publicly reporting companies.  In comparison to registered offerings, smaller companies in earlier stages of development may be able to use this rule to more cost-effectively raise money.

The executive team at Spotlight decided to exploit this opportunity as part of its overall business strategy.  Spotlight will now be able to meet all disclosure requirements, show incentives to potential investors and acquisition targets.  We are enthusiastic about being able to meet acquisition goals short-term due to this opportunity.
